Our business and corporate law services include entity formation, drafting entity documents (shareholder agreements, limited liability agreements, bylaws, etc.), tax planning, financing transactions, complex merger and acquisition agreements, software development and information technology, contract drafting and contract negotiations of every nature and type, joint ventures, securities offerings, employment agreements and executive compensation, bankruptcy and reorganization transactions, and counseling directors/managers on a range of difficult issues, including fiduciary duty and conflicts of interest.
